Version 2026-09-16.v1. This agreement is between Merchard, LLC (Olideck) and the person or entity applying to the Olideck Partner Program. By accepting, you confirm you are at least 18, have legal capacity and authority to act for that entity, and agree to these terms. Membership requires Olideck’s approval.
This agreement governs referral commissions. Olideck’s general Terms and Privacy Policy continue to govern use of the service. If commission terms conflict, this agreement controls partner commission calculation only.
Olideck selects partners at its discretion. Creators and others introducing freelancers and small businesses may apply. Acceptance does not guarantee approval, income, or continued membership. Use only the stable referral link assigned after approval. You are an independent participant, not Olideck’s employee, agent, or authorized representative.
A referral must be a genuinely new Olideck user. Attribution belongs to the first valid approved-partner link recorded within the 30 days before signup. Later links do not replace it within that window. Attribution is fixed when the new Olideck identity is created, with at most one partner per user. Existing users do not qualify. Blocking or clearing cookies, using unrelated devices before requesting the sign-in email, or technical failures may prevent attribution. Once captured with the sign-in email, attribution can survive confirmation on another device.
Self-referrals, accounts you own or control, fabricated users, artificial payments, collusion, and fraudulent activity are prohibited. You earn only for your direct referrals. There are no multilevel commissions from another user’s public profile or Made with Olideck link.
Each referred user has an independent eligibility period from their signup timestamp to, but excluding, their six-calendar-month anniversary in UTC. If the anniversary month lacks the signup day, the last day of that month is used. Payment capture time determines eligibility, not invoice creation, merchant onboarding, or Stripe setup time.
The standard share is 60% of the eligible platform fee Olideck actually collects on qualifying invoice payments. A private rate expressly recorded by Olideck may apply. The rate is frozen for each referral at attribution and is not changed by later partner rate changes. At a 5% platform fee, a qualifying $1,000 payment generates a $50 platform fee and a $30 standard partner commission. Zero collected platform fees generate zero commission. Stripe fees are separate. Calculations use integer currency minor units and round down; currencies are accounted for separately.
Eligible fees are the smaller of the fee proportional to non-refunded qualifying volume and the fee actually retained after application-fee refunds. Refunded volume never qualifies, even if Olideck retains its platform fee. Duplicate or ambiguous payments may be held for investigation. Subscription or future paid-plan commissions are not offered under this version.
Commissions are provisional and subject to a 14-day hold after payment. This operational buffer does not end refund, dispute, fraud, or recovery exposure. Olideck reviews eligible positive balances, after offsets, targeting processing on the 1st and 15th or the next business day. Holidays, verification, investigations, Stripe restrictions, or insufficient available platform funds can delay processing; Olideck will work to resolve outstanding eligible balances.
You must maintain an eligible Stripe account in a supported country and provide requested information. You may choose an eligible existing merchant account only when it belongs to the same legal payee. Otherwise a separate partner payout account is required. Sent to Stripe means a platform transfer has been confirmed, not that money has reached your bank. Stripe’s fees, restrictions, verification, and bank payout schedule are separate. Olideck does not guarantee a bank deposit date.
A full refund removes the related commission. A partial refund reduces it proportionally, regardless of whether the merchant receives a platform-fee refund. Opening a dispute suspends affected unpaid commissions. A merchant win restores the otherwise eligible commission; a loss or refund removes or adjusts it. Overlapping or unclear adjustments require review.
If an adjustment occurs after earnings were transferred, you authorize Olideck to offset the resulting negative balance against future earnings and, where lawful, request repayment for any unrecovered amount with an explanation of the adjustment. Olideck does not assume transfers are reversible. Transfer reversals and other recoveries will be reconciled to avoid duplicate recovery. These partner accounting rules do not change merchant-facing refund obligations.
Make truthful, supportable statements about Olideck. Clearly disclose your commission relationship wherever required by law or platform rules. Do not spam, impersonate Olideck, buy misleading trademark search advertising, make unauthorized claims or income promises, or use deceptive redirects, cookie stuffing, or undisclosed incentives. Respect intellectual property, privacy, audience consent, and advertising rules. Olideck may request correction or removal of noncompliant promotions.
You are responsible for taxes on your partner income and for accurate legal-payee and tax information. Olideck may request tax forms, report payments, or withhold amounts where legally required. Stripe onboarding does not satisfy all of Olideck’s separate contractual, reporting, withholding, or tax obligations. Each party maintains the records it is legally required to keep.
Either party may end participation by notice. Olideck may pause access or terminate participation for fraud, abuse, breach, legal requirements, or program administration. Pausing disables new referrals and partner dashboard access; previously attributed referrals continue their existing eligibility periods while payout execution is paused for review. Termination stops new attribution and eligibility for payments captured at or after termination. Payments captured before termination retain their original eligibility, hold, adjustment, and recovery rules, even if processed later. Contact Olideck for final settlement; termination does not require a new active partner login.
Fraudulent or otherwise ineligible commissions are not earned. Olideck will explain disputed balances and review supporting records before any manual correction. Legitimate pre-termination earnings are not automatically forfeited. Recovery, tax, recordkeeping, and dispute obligations survive termination.
Olideck may prospectively change or close the program with reasonable notice of material changes. The share rate of an already attributed referral and earned commissions will not be retroactively changed, except for eligibility corrections, refunds, disputes, fraud, or legal requirements described here. New versions require a recorded acceptance before applying to future participation where required. The governing-law and dispute provisions of Olideck’s Terms apply subject to applicable law. Nothing here limits rights that cannot lawfully be limited.
